On January 15, 2020, Jiu Mao Jiu Group (stock code: 9922.HK, hereinafter referred to as "Jiu Mao Jiu") was successfully listed on the main board of the Stock Exchange of Hong Kong (SEHK). Jiu Mao Jiu has issued 333,400,000 shares globally at a price of HK $6.60 per share, with a net proceed of approximately HK $2,075.6 million.
Jiu Mao Jiu Group is the leading Chinese restaurant brand manager and operator in China. So far, Jiu Mao Jiu Group consists of 5 brands including Jiu Mao Jiu, Tai Er Chinese Sauerkraut Fish, Double Eggs Pancake, Zong Cooking Spicy Kebab, and The Uncle Chef. According to the report from Frost Sullivan, the Jiu Mao Jiu Group’s two major brands Jiu Mao Jiu and Tai Er Chinese Sauerkraut Fish ranked the second and the first among all Chinese northwest restaurants and all Chinese sour fish restaurants in terms of revenues in 2018. As of December 22, 2019, Jiu Mao Jiu Group had 287 restaurants and 41 franchised restaurants and has presence in 39 cities, 15 provinces and 4 municipalities.
JunHe acted as the PRC legal counsel of the exclusive sponsor CMB International Capital Corporation Limited and the underwriters. In the project, JunHe assisted in completing the restructuring of the onshore and offshore structure of the issuer, carried out legal due diligence on the onshore subsidiaries of the issuer and the catering outlets owned by such subsidiaries, participated in the discussion of major issues of the project, drafted, reviewed and revised the application forms and shares issuance documents relating to the listing, issued PRC legal opinions, and assisted in responding to the reply from the Securities and Futures Commission (SFC) and the Stock Exchange of Hong Kong in respect of the listing application in the project. With the assistance of JunHe based on the professional, efficient and pragmatic team work, Jiu Mao Jiu was eventually listed on the main board of the Stock Exchange of Hong Kong successfully, and JunHe therefore won the unanimous recognition of the exclusive sponsor, the issuer and other professional institutions of the project.
