JunHe recently collaborated with Finloop Finance Technology Services (Finloop) and Guofu Quantum Innovation (Guofu Quantum, stock code: 00290.HK) to launch Hong Kong's first RWA (Real World Asset) project. The launch was backed by Canadian oil and gas field-related interests and successfully passed the Hong Kong Securities and Futures Commission (SFC) review. This RWA project marks a significant breakthrough for Guofu Quantum and Finloop in the digitization of physical assets in Hong Kong’s capital market.
Guofu Quantum was the core driving force in this project. The company is committed to exploring, evaluating and introducing high-quality real-world assets (RWA) amidst the global digitalization wave. By integrating their extensive traditional financial experience with cutting-edge innovative technology, Guofu Quantum provides compliant, high value and diversified investment opportunities for qualified professional investors.
Finloop was the tokenization technology service provider for this project. The company is a Hong Kong-based AI-driven global one-stop Web5 (Web2+Web3) wealth technology platform. It offers comprehensive wealth management products and technology solutions to various financial institutions and provides one-stop, full lifecycle RWA solutions. Finloop was responsible for building the underlying blockchain technology architecture, writing smart contracts, on-chain registration and token deployment in this collaboration. This joint effort ensures the technical on-chain and transparent circulation of Canadian oil and gas asset rights and provides a secure and mature technological foundation for releasing the liquidity of traditionally dormant assets.
MaiCapital, a subsidiary of Guofu Quantum, acted as the fund manager for this project. MaiCapital holds a Type 9 (asset management) regulated activity license issued by the Hong Kong SFC, allowing it to provide virtual asset-related asset management services under the SFC's ‘Terms and Conditions for Licensed Corporations or Registered Institutions Managing Portfolios that Invest in Virtual Assets’.
This project focused on Canadian oil and gas block assets and related interests. Through its innovative tokenized structure, the project used a Hong Kong Limited Partnership Fund (LPF) as a compliant issuance vehicle, aiming to tokenize fund shares with underlying assets related to Canadian oil and gas block interests. This significantly lowered the investment threshold for traditional energy assets.
JunHe was responsible for the fund structure design and provided legal support for the tokenization. Their work included designing the fund structure and terms, establishing the Hong Kong LPF, drafting and revising key fund documents such as the limited partnership and investment management agreements, liaising with the Hong Kong SFC, and presenting and responding to inquiries regarding product design, document content and the tokenization arrangements. The JunHe team provided solid legal support for the project's steady progress with professional, rigorous and efficient service standards.
JunHe provided comprehensive legal services and practical advice on fund establishment and tokenization for this project. Through their professional communication with the Hong Kong regulatory authorities, they assisted the project to successfully pass the SFC review. This project achieved an effective connection between fund shareholding arrangements and on-chain tokenization mechanisms, fully demonstrating Hong Kong's institutional innovation in promoting the integration of traditional finance and digital technology as an international asset management center. JunHe's rigorous, pragmatic and efficient professionalism earned the trust and praise of the clients.
WANG, Weiwei was the lead partner for this project.
