岗位职责 | Responsibilities
协助处理美国资本市场交易，包括上市、后续融资、私募融资及其他证券发行事项；
Assist with U.S. capital markets transactions, including initial listings, follow-on offerings, private placements, and other securities offerings;
协助处理美国上市公司的 SEC 申报、持续信息披露、公司治理及证券交易所合规事项；
Assist U.S. public companies with SEC filings, ongoing disclosure obligations, corporate governance, and stock exchange compliance matters;
就美国证券法、SEC 规则、证券交易所上市规则及其他资本市场相关法律问题开展研究并提供支持；
Conduct legal research and provide support on U.S. securities laws, SEC rules, stock exchange listing requirements, and other capital markets-related matters;
根据合伙人的需要，为其他公司及跨境资本市场事项提供支持。
Support partners on other corporate and cross-border capital markets matters as needed.
岗位要求 | Qualifications
拥有美国法学院授予的J.D.或LL.M.学位；
A J.D. or LL.M. degree from a U.S. law school;
具有纽约州、加利福尼亚州或美国其他州的执业律师资格；
Admitted to practice in New York, California, or other U.S. jurisdiction;
能够用中英文进行工作和沟通;
Ability to work and communicate professionally in both Chinese and English;
具有较强的法律研究、分析、写作及中英文校对能力。
Strong legal research, analytical, drafting, and bilingual proofreading skills.
工作地点: 君合中国大陆办公地点。
Location: One of JunHe’s offices in mainland China.
