美国国防部“中国军事企业”清单的前世今生和应对建议

1.  美国公布“中国军事企业”清单的依据

根据美国1999年《国防授权法案》第1237条¹及其后续修订²，美国国防部应当限期发布“中国军事企业”名单，并且每年2月1日前进行更新。“中国军事企业”³是指：（1）国防情报局⁴在编号为VP-1920-271-90、PC-1921-57-95两份文件中包含的企业；（2）由中国人民解放军或国务院部委所拥有、或控制、或主管，或由中国军事工业基地有关的企业所拥有或控制，并且参与商业服务、制造、生产或出口活动的企业。中国人民解放军⁵是指中国的陆军、海军、空军、警察、情报部门，以及前述机构的任何成员。

《国防授权法案》是美国国会关于国防部预算的联邦法案，每年制定一次，最早始于1961年⁶。1999年的《国防授权法案草案》于1998年4月1日由南卡莱罗纳州共和党众议员FloydSpence⁷在众议院提出，众议院议案编号为H.R.3616⁸，1998年5月12日众议院国家安全委员会提交的草案并没有第1237条⁹。该草案在参议院于1998年5月11日由南卡莱罗纳州参议员Strom Thurmond¹⁰提出，参议院议案编号为S 2057¹¹；在参议院审议期间总共有335条修改意见¹²，其中，由亚利桑那州共和党参议员TimHutchinson¹³和密西根州共和党参议员SpencerAbraham¹⁴于1998年5月12日提交的编号为2837号的修改意见¹⁵首先列明了针对中国人民解放军的十三条事实认定，然后基于该事实认定建议针对“中国军事企业”进行经济制裁，该修改建议于1998年5月14日在参议院通过，后来众议院进行技术调整后作为1999年的《国防授权法案草案》的第1237条¹⁶，并最终于1998年10月17日生效。

2.  美国国防部公布的“中国军事企业”清单

1999年《国防授权法案》第1237条最初设定的公布“中国军事企业”清单的期限为1999年1月14日¹⁷，但国防部并未在此日期前公布；就此，美国陆军战争学院客座研究教授Larry Wortzel曾于2000年10月10日发表文章¹⁸，认为Clinton政府怠于行使职责。

2019年9月19日，共和党参议员Tom Cotton¹⁹、民主党参议员Chuck Schumer²⁰、共和党众议员Mike Gallagher²¹、民主党众议员Ruben Gallego²²致信国防部长Mark Esper²³，要求国防部履行法定职责，关注中国“军民融合”战略，尽快更新并公布“中国军事企业”清单。

2020年6月24日，美国国防部长Mark Esper向参议员Tom Cotton复函²⁴，公布了首批20家“中国军事企业”清单；随后美国国防部又分别于2020年8月28日、2020年12月3日、2021年1月14日发布补充清单，分别将11家²⁵、4家²⁶、9家²⁷企业列入“中国军事企业”清单，合计44家。

3. 美国针对“中国军事企业”的制裁措施

根据1999年《国防授权法案》第1237条，美国总统可以行使《国际经济经济权利法案》²⁸相关授权对“中国军事企业”进行经济制裁。2020年11月12日，美国总统DonaldTrump就制裁“中国军事企业”发布13959号行政命令²⁹，并于2021年1月13日发布13974号行政命令对13959号行政命令进行修订³⁰；其根据《国际经济经济权利法案》和《国家紧急法案》³¹的授权，认为中国持续利用美国资本来开发军事、情报和其他国家安全相关装备并实现现代化，对美国构成非同寻常的威胁，并宣布该威胁构成国家紧急事件，同时采取以下制裁措施：

第一，针对美国国防部已经公布的“中国军事企业”，任何美国人在东部标准时间2021年1月11日上午9:30之后不得交易为“中国军事企业”提供融资的证券；但是，在东部标准时间2021年11月11日23:59之前，允许进行旨在剥离截至2021年1月11日上午9:30已经持有的前述证券的交易³²。

第二，针对美国国防部后续公布的“中国军事企业”，任何美国人在名单公布后第61天东部标准时间上午9:30之后不得交易为“中国军事企业”提供融资的证券；但是，在名单公布后第365天东部标准时间23:59之前，允许进行旨在剥离截至名单公布后第61天东部标准时间上午9:30已经持有的前述证券的交易³³。

前述制裁措施授权美国财政部实施³⁴，其下属境外资产控制办公室³⁵于2020年12月28日就实施13959号行政命令发布了857、858、859、860、861号五份答疑³⁶，并于2021年1月8日发布了“中国军事企业”所涉及的公开交易的证券代码信息³⁷；同时，境外资产控制办公室于2021年1月8日和14日发布两份通用许可，第1份通用许可³⁸将13959号行政命令所列“中国军事企业”的证券的交易期限延长到东部标准时间2021年1月28日上午9:30，第二份通用许可³⁹将东部标准时间2021年1月14日00:01之后列入境外资产控制办公室“中国军事企业”的证券在美国交易所的交易期限延长到列入清单后第365天东部标准时间00:01。

4.  相关处理建议

4.1  “中国军事企业”清单所列企业的处理建议

对于“中国军事企业”清单所列企业而言，13959号行政命令的核心目的是限制其从美国资本进行融资，所以在一定程度上会影响这些企业的融资渠道。如果相关企业目前已在美国发行证券，这些证券可能面临在豁免期后无法交易而被迫退市的情况；因为融资事实已经发生，禁止交易不会对发行人带来直接财务负担；但如果持有人要求发行人赎回，则可能引发集体诉讼，相关企业需要提前做好处理预案。

从2020年6月24日美国国防部长Mark Esper给参议员Tom Cotton的复函来看，国防部就认定“中国军事企业”的具体程序和方法并没有公开，也没有相应的移出程序；尽管如此，被误列入“中国军事企业”清单且受13959号行政命令的企业依然可以视情况考虑尝试主动与美国国防部联系，申请从“中国军事企业”清单移出。

4.2  证券投资者的处理建议

对于13959号行政命令所界定的“美国人”⁴⁰而言，其必须遵守13959号行政命令和海外资产控制办公室发布的关于禁止交易“中国军事企业”证券的要求，否则将面临相应的处罚。

4.3  中国政府的处理建议

通过1999年《国防授权法案》第1237条的立法背景可以看出，该条款存在的主要原因在于中美之间尚未建立军事互信；短期内两个国家建立完全的军事互信可能并不现实，但至少可以通过加强沟通来消除误解，避免事态进一步负向发展。

具体来说，1999年《国防授权法案》第1237条在约20多年后被首次触发的直接事件是Trump政府对中国军民融合战略的解读。从《关于经济建设和国防建设融合发展的意见》、《“十三五”科技军民融合发展专项规划》等政策文件来看，中国政府认为“军民融合”是双向的，即“军转民”+“民参军”；但Trump政府基本认为中国的“军民融合”是单向的，即，利用一切民用力量实现军事力量的全面现代化，包括以民用名义进口先进技术然后转为军用⁴¹。就此，中国政府可以考虑发布关于“军民融合”战略的白皮书，全面客观地阐述相关目标、原则和方法等。
