Ms. Eloise Liu has provided legal services in the United States for more than a decade. Her clients include state-owned enterprises, large multinational corporations, private equity funds, and privately held companies and come from a wide range of industries, including manufacturing, finance, biopharmaceuticals, real estate, IT, fast-moving consumer goods, and automotive. She provides integrated services to many Chinese companies in their day-to-day operations, project investments, and disputes.
Ms. Liu assists her clients in establishing, maintaining, or adapting the legal framework of their overseas operations. She drafts and negotiates shareholders' agreements, joint venture agreements, and other equity-related legal documents. Ms. Liu reviews documents related to day-to-day business operations, such as leases, executive employment agreements, financing agreements, distribution agreements, licensing agreements, and strategic collaboration agreements.
Ms. Liu has participated in and led numerous corporate mergers and acquisitions and venture/private equity investments. She has advised on and analyzed transaction structures, conducted legal due diligence, drafted and negotiated transaction documents, and assisted with closing. Ms. Liu has also provided risk assessment and legal advice on national security, export controls, data security and other regulatory aspects of mergers, investments and restructurings.
Ms. Liu has extensive experience in negotiating commercial disputes commonly encountered by Chinese companies in the United States such as shareholder disputes, agency disputes, and contractual and trade disputes. She has provided comprehensive solutions, issued attorney letters, negotiated legal documents for settlement, and assisted her clients in achieving successful settlements.
