CHEN, Yi (Joyce) Counsel

Professional Experience

Joyce Chen is a counsel at JunHe’s Guangzhou Office. She was among the founding team of the office in 2011 and has practiced with the firm since, accumulating nearly twenty years of experience in domestic and international capital markets and corporate M&A. Ms. Chen specializes in the niche area of “technology capitalization,” focusing on technology transfer, innovation enterprise incubation, and SOE innovation and equity incentives. As a state-recognized Technology Broker, she is a leading practitioner in this space, combining capital markets legal expertise with hands-on technology transfer experience.


Ms. Chen has a distinguished track record in domestic and international capital markets and M&A, having led numerous transactions including A-share/red chip/H-share IPOs, listed company refinancing, major asset restructurings, acquisitions, spin-offs, privatizations, bond issuances, asset securitization, structured finance, and special situations investments. Her clients include large central and local SOEs, listed companies domestically and overseas, research institutes, and technology innovation platforms across sectors such as AI, new energy, biopharma, new materials, TMT, and fintech.


Leveraging her deep capital markets background, Ms. Chen offers strategic insight into technology-driven business models and provides end-to-end legal support for “technology capitalization.” Her services span the entire lifecycle—from IP ownership and profit-sharing arrangements, technology contribution to equity, industry-academia collaboration, technology venture incubation coupled with control and governance arrangements, SOE employee co-investment schemes, technology-driven M&A, and domestic or overseas IPOs.


Ms. Chen has led multiple innovative and complex projects in the technology capitalization space, including: high-level structuring of the technology commercialization framework for a national AI platform, cross-border university-enterprise cooperation, China’s first SOE parent company R&D staff equity participation in an innovative subsidiary, Guangdong’s first technology-incubation-based employee co-investment program, operational reform of new-type R&D institutions, equity compliance reviews for transformed research institutes, and the design of cross-border incentive plans. Her work in incentives, cross-border transactions, and IPOs has been honored on multiple occasions with “Deals of the Year” or “Benchmark Cases in the sci-tech innovation sector” by leading legal and business media such as China Business Law Journal and Lvxin News.


Skilled in deal structuring, legal drafting, negotiation, and legal opinions, Ms. Chen possesses a sharp understanding of technology, capital, and business dynamics. A strong communicator and project manager, she consistently delivers effective legal solutions that help clients achieve their core commercial objectives.
