On March 7, 2025, Enlight Media (SZ300251), the producer of the smash hit film Ne Zha 2, announced the debt-assumed acquisition of 100% equity interest in Beijing Yulin Enterprise Management Co., Ltd. ("Beijing Yulin"), the project company holding the Aolin NEO Building in Beijing. The total consideration was RMB 1.22 billion. The Aolin NEO Building is located in the Asian Olympic business district and has a total area of 28,504.51 square meters. Enlight Media will use the property as its office space. This was a particularly high-profile transaction and has boosted market confidence.
Hitone Capital established a limited partnership to acquire the property at the beginning of 2022 and successfully exited in March 2025. It completed the fundraising, investment, management and exit within three years, which was extraordinary in a sluggish market. At the beginning of 2022, Hitone Capital, Orient Asset, Haikai Holdings, CITIC Financial Asset Management and Juno Capital acquired commercial real estate at No. 158 Beiyuan Road, Chaoyang District, Beijing. JunHe conducted the legal due diligence, drafted and negotiated the transaction agreements, reviewed the partnership agreement, and handled the closing matters. In the second half of 2023, Hitone Capital successfully upgraded the property into a high-end building, i.e. "Aolin NEO", greatly enhancing its asset value. At the beginning of 2024, JunHe assisted the client in its exit from the project through an asset transfer and conducted a comprehensive analysis of the feasibility and compliance of the transaction structure and plan. JunHe understood the client's commercial demands, considered the property and the project company's liabilities and guarantees, properly designed the pricing mechanism and arranged the transaction steps. The firm also assisted Hitone Capital in drafting and revising the equity transfer agreement and the other transaction documents.
