On April 3, 2024, NewGenIvf Limited (“NewGenIvf”) announced its De-SPAC listing on the NASDAQ through a business combination with A SPAC I Acquisition Corp., a special purpose acquisition company (SPAC).
NewGenIvf is an assisted reproduction service provider in the Asia Pacific dedicated to helping couples and individuals with fertility challenges build families and improve their chances with infertility treatment. The company is now called NewGenIvf Group Limited.
JunHe advised NewGenIvf as its US counsel in the project. They assisted NewGenIvf in reviewing and negotiating the business combination agreement and the relevant ancillary agreements, assisted in drafting the relevant sections of the prospectus F-4, responded to the SEC inquiries and obtained the approval of the SEC.
