JunHe’s China-US team completes two acquisitions of American logistics companies for Fan Yuan International, streamlining its US warehousing and distribution processes

On April 28, 2026, Fan Yuan International Holdings Limited (02516.HK) (Fan Yuan)  completed its acquisitions of COPE Holding and Hyperlining Holding, with a total transaction value of approximately USD 15.78 million. Fan Yuan now holds 51% equity in each of the target companies, achieving a controlling position.


The significance of this acquisition for Fan Yuan lies in the company’s newfound ability to provide overseas warehousing, last-mile delivery and truck transportation services in the United States, extending its logistics chain to the last mile. In recent years, as Chinese cross-border e-commerce companies accelerate their expansion into the US market, overseas warehousing and local delivery capabilities have become key competitive factors. Direct integration of mature local resources through mergers and acquisitions is becoming a pragmatic choice for Chinese logistics companies in their overseas expansion.


As the legal advisor to Fan Yuan, JunHe’s Seattle and Shanghai offices collaborated closely, participating throughout the transaction structure design and the drafting, negotiation and revision of the transaction documents.


This is not the first time that JunHe’s has assisted Fan Yuan in its expansion in the US market. In 2025, JunHe’s US team represented Fan Yuan in completing investments in two American logistics companies.


E-commerce and logistics are important avenues for Chinese enterprises entering the US market. Cross-border mergers and acquisitions typically involve transaction structures, regulatory reviews, tax and compliance arrangements in both China and the US, and need teams that are familiar with the legal and business environments of both regions to work closely together.
